The terms under which we license Chartwright, VetWright, and other GMTek AI software. Written so a busy clinician can read this once, decide it's fair, and move on.
These Terms of Service (the "Terms") are an agreement between you and GMTek AI, a sole proprietorship of Joshua Moody, located on Whidbey Island, Washington, USA. By installing, activating, or using Chartwright, VetWright, or any other GMTek AI software product (the "Software"), or by purchasing a subscription, you agree to these Terms.
If you don't agree, don't install or use the Software. If you've already installed it and you change your mind, see the refund section below.
Subject to your active subscription and these Terms, GMTek AI grants you a non-exclusive, non-transferable, revocable license to install and use the Software for the number of clinicians or veterinarians authorized by your subscription tier.
You may not:
60-day, no-questions-asked refund. If the Software is not a fit for any reason within sixty (60) days of your initial purchase, email josh@gmtek.ai and we will refund the full amount. You don't have to justify it.
After the 60-day window, refunds are at our discretion and generally not granted, but cancellation is always available — see below.
Refunds for renewal periods (year two and beyond) are pro-rated to the unused portion if requested within 14 days of the renewal charge.
Subscriptions auto-renew at the end of each billing period (monthly or annual, depending on your plan) at the then-current price for that tier, unless cancelled.
You can cancel any time by emailing josh@gmtek.ai or through your Lemon Squeezy customer portal. Cancellation takes effect at the end of the current paid period — you keep access through the time you've already paid for, and you are not charged again.
If you cancel, the binary keeps working — it just falls back to the free-trial usage limits. No remote kill-switch on your existing install.
The Software is a documentation aid. It is not clinical decision support. It does not diagnose. It does not replace clinical judgment.
Every output the Software produces — chart notes, MDM summaries, ICD-10 suggestions, E/M code recommendations, patient handouts, differential ideas, letters, anything — must be reviewed and approved by a licensed clinician (Chartwright) or a licensed veterinarian (VetWright) before it is entered into a chart, used for billing, sent to a patient or client, or otherwise relied upon.
You, the licensed professional, remain fully responsible for the clinical accuracy, billing accuracy, and legal compliance of anything you ship out the door, regardless of whether the Software helped you draft it.
You agree not to use the Software:
The Software is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, GMTek AI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation.
We make no warranty about clinical accuracy. AI models — including the local Ollama models, Anthropic Claude, OpenAI GPT, and any other model the Software supports — can and do produce incorrect, incomplete, or fabricated content ("hallucinations"). Detecting and correcting that is part of the licensed-professional review described in §05.
You are the licensed clinician or veterinarian. You bear clinical responsibility for what enters a chart. The Software is a tool; the standard of care belongs to you.
To the maximum extent permitted by law:
Some jurisdictions do not allow the exclusion or limitation of certain damages, in which case the above limitations apply only to the maximum extent permitted by law in that jurisdiction.
You agree to defend, indemnify, and hold harmless GMTek AI, Joshua Moody, and any contractors or assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Software; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including patient or client privacy laws; or (d) your violation of any third-party right, including any intellectual property or privacy right.
This is reciprocal in spirit: we built a tool, you operate it under your professional license, and the operational risk that flows from your use stays with you.
You may terminate these Terms at any time by cancelling your subscription and uninstalling the Software.
We may terminate or suspend your license immediately, without refund beyond what's required by §03, if you materially breach these Terms — including the restrictions in §06 or any law referenced therein. We will use good-faith effort to give notice and a chance to cure where the breach is curable.
Sections that by their nature should survive termination — disclaimers, limitation of liability, indemnification, governing law — survive.
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or related to these Terms or the Software that cannot be resolved by good-faith email discussion will be brought exclusively in the state or federal courts located in Island County, Washington, and you consent to the personal jurisdiction of those courts.
You and GMTek AI agree that any dispute will be brought in an individual capacity, not as part of any class or representative action. If a court finds this individual-action requirement unenforceable, the rest of this section still applies.
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date and, for active subscribers, sent via email to the address on file at least 30 days before they take effect. Continued use of the Software after the effective date means you accept the updated Terms; if you don't, cancel under §04.
Entire agreement. These Terms, together with our Privacy Policy and any order confirmation from Lemon Squeezy, are the entire agreement between you and GMTek AI regarding the Software.
Severability. If any provision is found unenforceable, the rest remains in full effect.
No waiver. Our failure to enforce any right is not a waiver of that right.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a sale, merger, or restructuring of GMTek AI.
Notices. Notices to GMTek AI go to josh@gmtek.ai. Notices to you go to the email on your account.
